Terms of Service
These Terms of Service ("Terms") govern your access to and use of the QRAALYS fleet management platform (the "Service"). By signing in or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Accounts
You must keep your credentials confidential and are responsible for all activity under your account. Notify us immediately of any unauthorised use. Organisations are responsible for the actions of their members.
2. Acceptable use
You agree not to:
- Use the Service to violate any law or third-party right.
- Attempt to access data or accounts that are not yours.
- Reverse engineer, scrape, overload, or interfere with the Service.
- Upload malware, illegal content, or content you do not have rights to.
3. Subscription and billing
Paid plans are billed in advance per the pricing terms agreed with your reseller or directly with QRAALYS. Failure to pay may result in suspension of the Service. Refunds are governed by the agreement under which you purchased.
4. Devices and telemetry
You are responsible for installing GPS devices in vehicles you have the right to track and for informing drivers in accordance with applicable law. We do not provide legal advice on monitoring requirements in your jurisdiction.
5. Service availability
We strive for high availability but do not guarantee that the Service will be uninterrupted or error-free. We may perform maintenance or modify features with reasonable notice.
6. Data ownership
You retain ownership of the data you submit to the Service. You grant us a limited licence to host, process, and display this data solely to provide the Service.
7. Confidentiality
Each party will protect the other's confidential information with reasonable care and use it only as necessary to perform under these Terms.
8. Disclaimers
The Service is provided "as is" without warranties of any kind, express or implied, to the maximum extent permitted by law. Telemetry and analytics are intended as decision-support tools, not as the sole basis for safety, compliance, or operational decisions.
9. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of or relating to these Terms is limited to the amount you paid for the Service in the twelve months preceding the claim. Neither party is liable for indirect, incidental, or consequential damages.
10. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, non-payment, or where required by law. Provisions intended to survive termination will do so.
11. Changes to these Terms
We may update these Terms. When we do, we increment the version number and prompt you to accept the new version on your next sign-in. Continued use after acceptance constitutes agreement to the updated Terms.
12. Governing law
These Terms are governed by the laws of the jurisdiction in which QRAALYS is established, without regard to conflict-of-laws principles.
